Limited Liability
The Client agrees that any material submitted for publication will not contain anything leading to the harmful use of the Service Provider. Harmful and unethical materials and uses include, but are not limited to privacy breaches, computer viruses, harassment, any illegal activities, spamming, and any violations of privacy. The Client hereby agrees to indemnify and hold harmless the Service Provider from any claim resulting from the Client’s publication of material or use of those materials. It is also acknowledged that the service provider will not publish information on the Web that may be used by another party to harm another. The service provider will also not develop pornographic or illegal software for the Client. The Service Provider reserves the right to determine what is and is not appropriate.
Indemnification
The Client agrees to defend, indemnify, save, and hold harmless the service provider from all claims, liabilities, losses, costs, and claims, including reasonable attorney’s fees related to the service provider’s promotion of the Client’s Services. This includes Liabilities asserted against the service provider, its subcontractors, its employees, its clients, officers, and employees, that may arise or agreed to be performed or any product sold by the Client. The Client also agrees to indemnify and hold harmless the Service Provider against Liabilities arising out of any injury to person or property caused by any products or services sold or otherwise distributed over the Client’s website. This includes infringement of the proprietary rights of a third party, copyright infringement, and distributing any defective product or misinformation which is detrimental to another person, organization, or business. In no event, including negligence, will the service provider, its officers, agents or anyone else involved in creating, producing service be liable for any direct that result from the use of exclusions, interruptions, deletion of files, errors, defects, delays in operation, or transmission or any failure of performance, communication failure, unauthorized access to the Service Provider’s records, programs, or services.
